Definitions
"CMP Studios" refers to CMP Studios (Pty) Ltd, its directors, employees, contractors, and agents.
"Client" refers to the individual, company, or entity purchasing services from CMP Studios.
"Build Fee" refers to the once-off payment for website design and development as quoted in the proposal.
"Maintenance Plan" refers to the recurring monthly service agreement covering hosting, updates, and allocated change hours.
"Go-Live" refers to the date the website is published to the Client's live domain and made publicly accessible.
"Business Hours" means Monday to Friday, 08:00 to 17:00 SAST, excluding South African public holidays.
"Content" means all text, images, logos, videos, brand assets, and any other media supplied by the Client for use in the project.
"Change Request" means a specific, written instruction to alter existing content or design elements. It does not include new pages, new features, or structural redesigns.
"Revision Round" means one single, consolidated, written list of up to 5 specific Change Requests submitted via email or an agreed communication channel.
"Proposal" means the written quotation or project brief issued by CMP Studios and accepted by the Client.
Payment Terms
A non-refundable 50% deposit of the Build Fee is required before any work commences. Payment of this deposit constitutes the Client's acceptance of these Terms and Conditions in full.
The remaining 50% of the Build Fee is due upon project completion and before Go-Live. The website will not be published until full payment has been received and cleared.
Monthly Maintenance fees are billed on the 1st of each month and are payable within 5 business days of invoice.
Accounts overdue by more than 10 business days will result in the suspension of all maintenance services, including hosting. CMP Studios accepts no liability for downtime, data loss, or business interruption resulting from service suspension due to non-payment.
Accounts overdue by more than 30 calendar days may result in the website being taken offline. Restoration of services will incur a R500 reactivation fee in addition to all outstanding amounts.
All prices are quoted in South African Rand (ZAR) and are exclusive of VAT unless explicitly stated otherwise in writing.
CMP Studios reserves the right to adjust pricing with 30 days' written notice to active Maintenance Plan clients. Continued use of the service after the notice period constitutes acceptance of the new pricing.
Project Commencement & Timelines
Build timelines begin only once all of the following have been received and confirmed in writing by CMP Studios: all final, proofread copy; all images, logos, and media assets at required resolution; brand guidelines or style references; relevant login credentials; and written approval of the project brief.
CMP Studios will not be held liable for project delays caused by late, incomplete, unclear, or repeatedly revised content supplied by the Client.
If the Client fails to supply required Content within 14 calendar days of the agreed project start date, CMP Studios reserves the right to: (a) pause the project and reallocate resources to other clients, or (b) invoice for work completed to date at an hourly rate of R450/hr, with the balance of the Build Fee remaining payable.
Timelines stated in proposals are working estimates, not contractual guarantees, unless explicitly confirmed as guaranteed in writing. Earlier delivery than estimated is a courtesy and does not create a precedent or obligation.
Additional scope requested by the Client during the build phase will be quoted separately and may extend the agreed timeline. Work on additions will not begin until the additional quote is approved and paid.
Revision Policy
Revision rounds are allocated per package as follows:

Each revision round consists of one consolidated written list of up to 5 specific change requests. Requests submitted as separate messages, calls, or voice notes do not constitute a single revision round; they must be compiled into one written submission.
Revision rounds must be used before Go-Live. Unused rounds carry no monetary value and do not transfer to post-launch maintenance hours.
The following are not considered revision requests and will be scoped and quoted separately: new pages or sections not in the original brief; new functionality (booking systems, calculators, e-commerce, etc.); structural redesigns or layout overhauls; copywriting or content creation.
Additional revisions beyond the allocated rounds are billed at R450/hr. A written quote will be provided and must be approved before work begins.
Performance Guarantees
CMP Studios guarantees a Google Lighthouse performance score of 85 or above at the point of Go-Live, tested on the agreed hosting environment using Content supplied and approved by the Client.
This guarantee is void if any of the following occur after Go-Live: third-party plugins, themes, or scripts are installed by the Client or any unauthorised party; unoptimised images or media are uploaded directly by the Client; the hosting environment is changed without CMP Studios' involvement; the Client or any third party modifies theme or core code files.
CMP Studios makes no guarantee of search engine ranking position, organic traffic volume, lead generation, or revenue outcomes as a result of SEO setup. SEO setup refers to technical configuration only.
Google Analytics integration (where included) provides data tracking only. CMP Studios does not guarantee the accuracy of third-party analytics platforms.
Maintenance Plans
The R350/mo Maintenance Plan is mandatory for Go-Live on the Starter package. By accepting the Starter package, the Client agrees to a minimum 3-month maintenance commitment from Go-Live date.
Monthly change allocations are as follows:

Unused change hours do not roll over to the following month and carry no monetary value.
Change requests exceeding the monthly hour allocation will be billed at R450/hr. A written estimate will be provided and must be approved before work commences.
Response time SLAs refer to acknowledgement of a request during Business Hours, not completion of work. Response times apply to Business Hours only and do not apply on weekends or public holidays.
Critical emergencies (website completely offline, confirmed security breach) are treated as priority for all plans during Business Hours. CMP Studios will make reasonable efforts to respond urgently but does not guarantee resolution within a specific timeframe.
Maintenance plans cover the website as originally delivered. Changes to hosting infrastructure, third-party integrations, or platform migrations are scoped and quoted separately.
Hosting & Security
Hosting is provided through CMP Studios' preferred infrastructure. The Client does not have the right to demand migration to alternative hosting providers while on an active Maintenance Plan.
SSL certificates are included and maintained by CMP Studios while the Maintenance Plan is active. CMP Studios accepts no liability for SSL lapses caused by domain transfers or changes managed by the Client.
Wordfence malware scanning (Growth and Premium packages) is automated and weekly. CMP Studios will notify the Client of detected threats but is not liable for damages arising from: breaches caused by Client-installed plugins or themes; compromised credentials supplied or managed by the Client; hosting infrastructure failures beyond CMP Studios' direct control; or zero-day vulnerabilities in third-party software.
The Client is solely responsible for the security of all login credentials shared with them. CMP Studios must be notified immediately of any suspected credential compromise.
CMP Studios performs reasonable security hardening at Go-Live. The Client acknowledges that no hosting environment can be guaranteed 100% secure and agrees not to hold CMP Studios liable for breaches arising from circumstances outside CMP Studios' direct control.
Intellectual Property & Ownership
Upon receipt of all outstanding payments in full, the Client owns the final website design and custom code produced by CMP Studios specifically for their project.
Upon cancellation of the Maintenance Plan, CMP Studios will provide the site files (theme files, exported database, and media library) within 10 business days. Premium plugin licences purchased under CMP Studios' accounts are not transferable and are not included in the handover.
CMP Studios retains the right to display the completed website in its portfolio and marketing materials unless the Client explicitly requests otherwise in writing before Go-Live.
The Client warrants that all Content supplied to CMP Studios is either owned by the Client or that the Client holds appropriate licences for its use. The Client indemnifies CMP Studios against any and all claims, costs, and damages arising from copyright infringement related to Client-supplied Content.
CMP Studios retains ownership of all work produced until the Build Fee is paid in full. No licence to use the website is granted until full payment is received.
Cancellation
The 50% deposit is non-refundable under all circumstances. If the Client cancels a build project after commencement: if less than 50% of the work is complete, no further payment is due and the deposit is forfeited; if 50% or more of the work is complete, the remaining 50% of the Build Fee becomes payable in full within 5 business days.
A minimum of 30 calendar days' written notice via email is required to cancel a Maintenance Plan. Notice periods begin from the date written notice is received and confirmed by CMP Studios.
Cancellation during the mandatory 3-month minimum period (Starter package) will result in the outstanding monthly fees for the remainder of the minimum term becoming immediately due.
CMP Studios reserves the right to terminate any agreement with 14 days' written notice if the Client is abusive toward staff, persistently non-responsive for more than 30 days, or in repeated material breach of these Terms. In such cases, any work completed to date will be invoiced and payable within 5 business days.
Limitation of Liability
CMP Studios' total aggregate liability to the Client under any and all circumstances shall not exceed the total fees paid by the Client in the preceding 3 calendar months.
CMP Studios is not liable for: loss of revenue, profit, business opportunity, or goodwill; data loss caused by hosting infrastructure failure or third-party outages; damages arising from third-party plugins, themes, or services; website downtime resulting from non-payment, domain expiry managed by the Client, or hosting outages outside CMP Studios' control; or any indirect, consequential, or special damages of any kind.
Nothing in these Terms limits CMP Studios' liability for fraud, wilful misconduct, or any liability that cannot be excluded by South African law.
Dispute Resolution
In the event of a dispute, both parties agree to attempt resolution in good faith via written communication within 10 business days of the dispute being raised.
If the dispute remains unresolved after 10 business days, both parties agree to refer the matter to independent mediation before initiating any legal proceedings.
These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of South Africa. The parties consent to the jurisdiction of the South African courts.
General
These Terms constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior communications, representations, or agreements.
If any clause of these Terms is found to be unenforceable, the remaining clauses continue in full force and effect.
CMP Studios reserves the right to update these Terms at any time. Active clients will be notified of material changes with 14 days' written notice. Continued use of services after the notice period constitutes acceptance of the updated Terms.
The current version of these Terms is always available at cmpstudios.site/terms and is dated at the top of this page. Clients should retain the version in force at the time their proposal was signed.
